ADT-1 is due within 15 days of the AGM that appoints your auditor. If your AGM, the yearly shareholders' meeting, is on 30 September 2026, the date is 14 October 2026. Miss it, and the late fee runs from 2 to 12 times the normal government fee, depending on how late you are. ADT-1 itself is the form that tells the Registrar of Companies, the ROC, who your auditor is. Most companies file it once every 5 years, since an AGM appoints an auditor for a 5-year term.

What ADT-1 is.
ADT-1 tells the ROC who your company's auditor is. It goes in every time a new auditor is appointed.
Who files it.
Every company that appoints an auditor files this form. It is filed once for each appointment, not every year.
The date, and how it is counted.
It is due within 15 days of the AGM, the meeting that appoints the auditor. If your AGM is on 30 September 2026, count 15 days forward: the date is 14 October 2026. A new company is different. Its board names the first auditor within 30 days of registration, and ADT-1 goes in within 15 days of that.
The government fee and the late fee.
The normal government fee is small and depends on your share capital, from ₹200 to ₹600. Filed late, the fee multiplies. Up to 30 days late, it is 2 times the normal fee. From 30 to 60 days, 4 times. From 60 to 90 days, 6 times. From 90 to 180 days, 10 times. Beyond 180 days, 12 times.
What happens if it is missed.
There is no daily fee here, unlike the yearly accounts and yearly return. A company with no auditor on record runs into trouble later. The yearly accounts need an audit report attached, and there is no report without an auditor.
How it is filed and who signs.
It carries the director's digital signature. A copy of the board's resolution appointing the auditor goes with it. The auditor's written consent and a certificate that they are eligible for the role go with it too.

Do we file ADT-1 every year?

No. ADT-1 is filed once for each appointment, and an AGM appoints an auditor for 5 years. Most companies file it once every 5 years, not every year.

We had no sales this year. Do we still file ADT-1?

Yes. ADT-1 is about who your auditor is, not how much business you did. If your AGM appointed or reappointed an auditor this year, the form is due, sales or no sales.

We missed the date last year. What do we do now?

File it now. The fee is a slab, not a daily charge: 2 to 12 times the normal government fee, depending on how late you are. The longer you wait, the higher the slab climbs.

Our auditor resigned in between. What happens?

The auditor files their own form within 30 days of resigning. Your board names a replacement within 30 days, and the members approve the new auditor within 3 months. Once the new auditor is confirmed, ADT-1 goes in again within 15 days.

Can our own accountant be our auditor?

No. The auditor is independent of your company and its staff. We prepare the accounts and papers the auditor asks for, and the auditor signs their own report.

Is the ADT-1 date ever extended?

The law's date is 15 days after the AGM, and that is the date to plan for. If your AGM is on 30 September, plan for 14 October 2026. The government has moved other yearly ROC dates before, and only after the original date had passed. If any date changes, we tell you the same day.
