A fundraise, a loan, a sale or a purchase all reach the same point. The other side sends a CA, and they ask a question your books cannot answer. The deal then loses time, or the price drops. We build your data room, which is the set of papers and numbers they will ask for. We check it the way their CA will, before they do. What we find gets fixed first. If you are buying a business, we run the same checks on it before you sign.

We check your GST against your profit and loss.
The sales in your GST returns and the sales in your profit and loss report have to agree. Where they differ, we get the reason ready. Their CA checks this first, so we check it first.
We check TDS and other government dues.
TDS paid late and dues still owed to the government are two of the first things a due diligence check finds. TDS cut late can also add to the tax you pay. We clear what we can before the process starts.
We check payments to related parties.
Money paid to a director, a family member or a connected company needs approval, and it has to be recorded and disclosed. We check that this was done.
We check how revenue is recorded.
Sales have to be counted in the month they are earned, not the month the money arrives. This is a common gap in a young company's books.
We check your share filings.
Every share issued needs a filing with the ROC inside a short window. A missing filing here is a common surprise during a fundraise.

What does an investor's CA check?
Mostly whether your numbers agree with each other. They check your GST returns against your profit and loss, and whether TDS and other dues are paid on time. They also check payments to related parties, how revenue is recorded, and your share filings with the ROC.
Can you fix problems before the investor's CA finds them?
Yes. We run the same checks first and fix what we find. You get a list of what we changed and why.
We are buying a business. Can you check it for us?
Yes. We run the same checks on the business you want to buy, so you know what you are buying before you sign.
How fast can you get a data room ready?
It depends on how ready your books already are. If we already keep them, most of the data room already exists. Tell us your date and we plan from it.
Do you answer questions during the process, or only prepare the papers?
Both. We prepare the data room, and we answer questions from the other side's CA when they arrive, for as long as the process runs.
What does due diligence cost?
We quote it before any work starts. The fee depends on the size of the deal and the state of your books. You see the number and approve it first.
